These Terms and Conditions ("Terms") govern your use of the websites, mobile applications, and services operated by Nextserve Software Private Limited ("Nextserve", "Company", "we", "our", "us"), including the SOG (Scan, Order & Go) platform and any related products or services (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Definitions
- "Platform"
- The SOG software system including web applications, mobile applications, desktop applications, APIs, and related infrastructure.
- "Customer" or "End User"
- Any individual who uses the Platform to browse menus, place orders, or make payments at a participating restaurant or food establishment.
- "Vendor" or "Restaurant Partner"
- Any restaurant, cafe, food court, or food service business that subscribes to and uses the Platform for their operations.
- "Order"
- A request placed by a Customer for food items or services through the Platform.
- "QR Code"
- Quick Response codes provided by the Platform, typically associated with specific tables or locations at a Vendor's premises.
2. General Use
By using this Platform, you confirm that:
- You are at least 18 years of age, or you are using the Platform under the supervision of a parent or legal guardian.
- You have the legal capacity to enter into binding contracts.
- You will provide accurate, current, and complete information when required.
- You will use the Services only for lawful purposes and in accordance with these Terms.
All content on this Platform is for informational purposes only and is subject to change without notice.
3. User Responsibilities
Users agree to the following:
- No Misuse: You shall not misuse the Platform by knowingly introducing viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material.
- No Unauthorized Access: You shall not attempt to gain unauthorized access to the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.
- No Interference: You shall not interfere with or disrupt the integrity or performance of the Platform or its related systems.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Accurate Information: You shall provide accurate information when placing orders, including table numbers, contact details, and special requests.
- Lawful Use: You shall not use the Platform for any fraudulent, illegal, or unauthorized purpose.
4. Platform Services
a. For Customers (End Users)
The Platform enables Customers to:
- Scan QR codes to access restaurant menus
- Browse menu items, view prices, and check availability
- Place orders for food and beverages
- Track order status in real-time
- Make payments through integrated payment gateways
- Receive notifications about order updates
b. For Vendors (Restaurant Partners)
The Platform provides Vendors with:
- Menu management and configuration tools
- Order management and kitchen display systems
- Table management and QR code generation
- Billing and invoice generation
- Analytics and reporting dashboards
- Staff management features
Important: Nextserve acts solely as a technology platform provider. The actual food preparation, service quality, hygiene standards, and order fulfillment are the sole responsibility of the respective Vendor (Restaurant Partner).
5. Menu, Product & Service Descriptions
- Menu items, descriptions, images, pricing, and availability information displayed on the Platform are provided by the respective Vendors.
- While all efforts are made to ensure accuracy, we do not warrant that product descriptions, images, or other content provided by Vendors are complete, current, accurate, or error-free.
- Actual food items may vary from images displayed.
- Prices are set by individual Vendors and may be subject to change without notice.
- Availability of menu items is subject to real-time stock and may change during your ordering session.
6. Order Acceptance & Cancellation
a. Order Placement
- Placing an order through the Platform constitutes an offer to purchase from the respective Vendor.
- Order confirmation is subject to acceptance by the Vendor.
- The Vendor reserves the right to refuse or cancel any order for reasons including but not limited to: product unavailability, pricing errors, suspected fraud, or operational constraints.
b. Order Cancellation
- Cancellation policies are determined by individual Vendors and may vary.
- Once an order is accepted and preparation has begun, cancellation may not be possible.
- Any refunds for cancelled orders will be processed according to the Vendor's refund policy and applicable payment gateway procedures.
c. Order Modifications
- Modification of orders after placement is subject to Vendor policies and order status.
- Modifications may not be possible once kitchen preparation has commenced.
Note: For dine-in orders, please ensure you are seated at the correct table before placing an order. Orders are routed based on the QR code scanned, and incorrect table selection may result in delivery to the wrong location.
7. Pricing and Payment
- All prices displayed on the Platform are in Indian Rupees (INR) unless otherwise specified.
- Prices may be inclusive or exclusive of applicable taxes (GST) as indicated by the Vendor.
- Additional charges such as service charges, packaging fees, or delivery charges may apply as determined by the Vendor.
- Payments must be made through the secure payment gateway integrated with the Platform (currently PhonePe).
- The Platform and Nextserve are not liable for any payment gateway errors, transaction failures, or delays caused by the payment service provider or your banking institution.
- In case of payment disputes, please contact our support team with transaction details for resolution.
8. Refund Policy
- Refund eligibility and processing are primarily governed by the respective Vendor's policies.
- Refunds for cancelled orders (where eligible) will be processed within 5-7 business days to the original payment method.
- In case of payment failures where the amount is debited but the order is not placed, the amount will be automatically refunded within 5-7 business days.
- For disputes regarding food quality, quantity, or service, please contact the Vendor directly or raise a complaint through the Platform.
- Nextserve may facilitate communication between Customers and Vendors for dispute resolution but is not liable for the final resolution.
9. Intellectual Property
- All text, graphics, logos, icons, images, audio clips, software, and other materials on this Platform ("Content") are the intellectual property of Nextserve Software Private Limited or its licensors and are protected by copyright, trademark, and other intellectual property laws.
- The SOG name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Nextserve Software Private Limited.
- Unauthorized use, reproduction, modification, distribution, or duplication of any Content is strictly prohibited.
- Vendors retain ownership of their menu content, images, and branding materials uploaded to the Platform.
- By uploading content to the Platform, Vendors grant Nextserve a non-exclusive license to display and use such content for the purpose of providing the Services.
10. Third-Party Services
The Platform integrates with third-party services including:
- Payment Gateway (PhonePe): For processing payments. Use of payment services is subject to PhonePe's terms and conditions.
- Firebase (Google): For push notifications and real-time features. Subject to Google's terms of service.
- Cloud Infrastructure: For hosting and data storage.
Nextserve is not responsible for the availability, accuracy, or reliability of third-party services, and their use is at your own risk.
11. Disclaimer of Warranties
THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by law, Nextserve disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components
- Warranties regarding the accuracy, reliability, or completeness of any content or information on the Platform
- Warranties regarding the quality, safety, or legality of food items provided by Vendors
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- Nextserve shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform or Services.
- Nextserve shall not be liable for any damages arising from:
- Food quality, allergic reactions, food poisoning, or any health issues caused by food consumed
- Delays in order preparation or delivery
- Vendor's failure to fulfill orders or provide services
- Payment gateway failures or errors
- Loss of data or unauthorized access to your account
- Service interruptions or Platform downtime
- In no event shall Nextserve's total liability exceed the amount paid by you for the specific transaction giving rise to the claim, or INR 1,000 (whichever is lower).
Food Safety Disclaimer: Nextserve is a technology platform and does not prepare, cook, or handle any food items. All food safety, hygiene, and quality responsibilities lie solely with the respective Vendor (Restaurant Partner). Customers with food allergies or dietary restrictions should communicate directly with the Vendor staff.
13. Indemnification
You agree to indemnify, defend, and hold harmless Nextserve Software Private Limited, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Platform
- Your violation of these Terms
- Your violation of any rights of another party
- Any content you submit or transmit through the Platform
14. Account Termination
- We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice.
- Grounds for termination include but are not limited to: violation of these Terms, fraudulent activity, abusive behavior, or non-payment (for Vendor accounts).
- You may terminate your account at any time by contacting our support team.
- Upon termination, your right to use the Services will immediately cease.
15. Modifications to Terms
- Nextserve reserves the right to modify, update, or revise these Terms at any time without prior notice.
- Changes will be effective immediately upon posting to the Platform.
- The "Last Updated" date at the top of this page indicates when the Terms were last revised.
- Continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
- It is your responsibility to review these Terms periodically for updates.
16. Governing Law & Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of India.
- Any disputes arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
- Notwithstanding the above, Nextserve may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
17. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms:
- Informal Resolution: The parties shall first attempt to resolve the dispute informally by contacting our support team.
- Mediation: If informal resolution fails, the parties may agree to submit the dispute to mediation.
- Arbitration: Any unresolved disputes may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Hyderabad, India.
- Litigation: Either party may seek recourse through the courts as specified in the Governing Law section.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published on the Platform, constitute the entire agreement between you and Nextserve regarding the use of the Services and supersede all prior agreements and understandings.
